Feng-GUI AI Terms

These terms (the "AI Terms"), together with either the Feng-GUI, Terms of Service (the "TOS") or the signed services agreement between the parties (the "MSA") (as applicable), and any Orders, govern your use of the AI Features offerings. All capitalized terms not defined herein shall have the meaning attributed to them in the TOS or the MSA.

Feng-GUI may update these AI Terms from time to time. You understand that if you use AI Features after the date on which the AI Terms have changed, Feng-GUI will treat your continued use of the AI Features as acceptance of the updated AI Terms. In the event of any conflict or inconsistency between a provision in these AI Terms and the TOS, MSA, or an Order, these AI Terms will govern.

1. Definitions.

• Feng-GUI "AI Feature(s)" means the interactive conversational tools, chatbot, and analysis translation features made available through Feng-GUI's "AI Assistant" interface that leverage third-party general-purpose artificial intelligence models (such as natural language processing and text-generation models).
  
• "Proprietary Feng-GUI Core Services" means the core non-conversational predictive eye-tracking and visual attention analytics models, including but not limited to the generation of heatmaps, focus maps, gaze plots, opacity maps, Areas of Interest (AOIs) scoring, facial expression analysis, memory maps and aesthetics reports.
  
• "Client Input" refers to the raw images, videos, webpage URLs, or visuals uploaded by the Customer to the platform.
• "Client Output" refers to the visual attention heatmaps, focus maps, gaze plots, and reports generated by the platform.

2. Services.

• "Feng-GUI AI Feature" are included in the definition of "Services" set-out in the TOS or MSA, as applicable.
  
• Feng-GUI Server Processing: All "Proprietary Feng-GUI Core Services" are processed and hosted entirely on Feng-GUI's secure, proprietary servers. No Client Input (such as uploaded images, webpage URLs, or videos) or Client Output (such as heatmaps or gaze plots) processed via the Core Services is shared with, transmitted to, or stored by any third-party AI provider or external sub-processor.
  
• Third-Party AI Processing Exception: The sole exception to Feng-GUI server processing is the "AI Assistant" feature.
  When the Customer voluntarily chooses to utilize the AI Assistant feature (e.g., by initiating a chat or requesting a text-based design optimization suggestion),
  the relevant report data and customer text prompts are transmitted to approved general-purpose AI platforms (e.g., Google) for processing.
  Such transmission is governed under Section 4 of these AI Terms.
  
• Logical Separation and Isolation: Feng-GUI employs technical and organizational measures to ensure that all Client Input and Client Output are logically separated and isolated from Feng-GUI’s own provider data, third-party data, and the data of all other Feng-GUI customers. Client Input and Client Output are maintained in logically distinct environments and will not be commingled.

3. Use of Feng-GUI AI Features.
You may provide input to be processed by the Feng-GUI AI Features ("Input"), and receive output generated and returned by the Feng-GUI AI Features based on the Input ("Output"). Input and Output are Your Data or Your Content, as applicable. You will not provide Input or attempt to generate Output through Feng-GUI AI Features that contains any personal information or Sensitive Personal Information. You are solely responsible for the development, content, operation, maintenance, and use of Your Data. You will ensure that your Input and use of Feng-GUI AI Features and Output will not (i) violate any applicable laws; (ii) violate these Feng-GUI AI Terms, the Agreement, or other Feng-GUI policies; or (iii) infringe, violate, or misappropriate any of our rights or the rights of any third party.

4. Third-Party Terms.
Feng-GUI uses third party service providers listed on our Sub-processor List to host and provide the Feng-GUI AI Features.
You understand and agree that each service provider may have their own AI services terms and conditions.
Feng-GUI uses artificial intelligence technology developed and provided by Google ("Google").
Customer acknowledges and understands that by using the Feng-GUI AI Features the Google Terms of Service also govern its use of the AI Feature (available here "Google Terms of Service" ).
Agreeing to abide by third party terms and conditions is required to access Feng-GUI AI Features.

5. Use Restrictions.
You will not use the Feng-GUI AI Features (i) to develop data sets, foundation models, or other large scale models that may compete with Feng-GUI or Feng-GUI AI Features; (ii) to mislead any person or imply that Output generated using the Feng-GUI AI Features is unique or solely human generated; (iii) in a manner which violates each respective Sub-Processor's terms or codes of conduct, or any content and use policies we may implement from time to time; (iv) to generate spam or content for dissemination in an unlawful manner; or (v) in a way that violates the Use Restrictions herein or outlined in the TOS or MSA (as applicable).

6. Intellectual Property.
As between the parties, Feng-GUI owns all right, title, and interest in and to the Feng-GUI AI Features and any resulting usage data, including all intellectual property and proprietary rights therein. Feng-GUI AI Features shall be deemed to be included in the definition of "Intellectual Property Rights."

7. Training Rights.

• No Third-Party Training: Under no circumstances do Feng-GUI's third-party sub-processors have the right to use Your Inputs or Outputs to train their artificial intelligence models.
• No Core Model Training: Feng-GUI covenants and warrants that none of the Customer's Client Inputs or Client Outputs will be used, stored, or processed to train, test, or fine-tune Feng-GUI's general-purpose predictive models, neural networks, or proprietary algorithms. All processing is strictly executed to provide the services to the Customer.

8. Risks and Limitations.
Artificial intelligence and machine learning technologies have known and unknown risks and limitations. You acknowledge that you are solely responsible for developing your own internal policies regarding the appropriate use of these technologies and training Users on your account on such policies. By using the Feng-GUI AI Features, you acknowledge and agree that Feng-GUI is not responsible for any (a) inaccuracies, hallucinations, disinformation, poisoned data, or other errors in the Output, (b) biases or limitations of the underlying algorithms or data, (c) Output that you may find harmful or offensive, (d) Outputs that potentially violate nondisclosure agreements and/or other contractual and confidentiality obligations, and (e) Outputs that fail to disclose the content's non-human origin. If you encounter any Output that is harmful, offensive, or not appropriate, please promptly report it to sales@Feng-GUI.com. You acknowledge that the Feng-GUI AI Features is an optional feature of the Services overall and that you are free to stop using the feature

9. Disclaimer.
YOU UNDERSTAND AND AGREE THAT ANY CONTENT OR OUTPUT OBTAINED THROUGH THE USE OF THE FENG-GUI AI FEATURES ARE PROVIDED "AS-IS" AND OBTAINED AT YOUR SOLE RISK. YOU SHOULD NOT RELY ON FACTUAL ASSERTIONS IN OUTPUT WITHOUT INDEPENDENTLY FACT CHECKING THEIR ACCURACY AS OUTPUTS THAT APPEAR ACCURATE BECAUSE OF THEIR DETAIL OF SPECIFICITY MAY STILL CONTAIN MATERIAL INACCURACIES. FENG-GUI CANNOT DYNAMICALLY RETRIEVE INFORMATION, AND OUTPUT MAY NOT ACCOUNT FOR EVENTS OR CHANGES TO UNDERLYING FACTS OCCURRING AFTER THE AI MODEL WAS TRAINED. NO INFORMATION OR ADVICE, WHETHER WRITTEN OR ORAL, OBTAINED BY YOU FROM FENG-GUI OR THROUGH THE FENG-GUI AI FEATURES SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

10. Service Levels Not Applicable.
Notwithstanding anything to the contrary in the MSA, downtime of the Feng-GUI AI Features that results from a failure of a third-party service will not be included in the availability or uptime calculations.

11. AI Usage Logging and Auditability
Feng-GUI creates, maintains, and securely retains an auditable log detailing the use of all AI features and functionalities. These logs reliably identify the Client Input processed and the corresponding Client Output generated, along with relevant metadata (including user identification and timestamps). Such logs are retained in accordance with Feng-GUI's standard retention policies and will be made available to the Customer upon reasonable written request to support the Customer's internal compliance and security audits.

12. Similarity of Output.
Due to the nature of artificial intelligence and predictive machine learning models, Output generated by Feng-GUI AI Features may not be unique across all Customers. The platform may generate the same or similar Output for other Customers or third parties who submit similar Client Input. Customer acknowledges that Output requested by and generated for other Customers does not constitute Customer's Data or Customer's Intellectual Property, and Customer claims no rights, title, or interest in such similar Output generated for others.

13. Probabilistic Nature and Accuracy.
The Feng-GUI AI Features are provided by Third Party Providers, Feng-GUI does not guarantee accuracy or consistency of any Output generated by the AI Features. Given the probabilistic nature of machine learning, and AI, use of our AI Features may in some situations result in incorrect Output that does not accurately reflect the action generated. Any change of the data uploaded by the Customer as the Input and any change to the queries used by the Customer when using the AI Features may result in change to the Output. The Customer shall evaluate the accuracy of any Output and shall not rely on Feng-GUI to do so.
